Terms & Conditions

These Terms & Conditions ("Terms") govern your use of services provided by ATC Dispatching LLC ("ATC Dispatching," "we," "us," or "our"), including our website (atcdispatching.com) and all dispatching, factoring, financing, brokerage, and compliance services.

1. Acceptance of Terms

By engaging our services, requesting a quote, or using our website, you agree to these Terms. If you do not agree, do not use our services.

2. Services Offered

ATC Dispatching provides back-office services to trucking companies including but not limited to: truck dispatching, factoring setup, lease-on to MC programs, equipment financing brokerage, SBA loan brokerage, truck sales brokerage, trucking insurance brokerage, ELD/GPS reselling, MC authority setup, and IFTA/2290/permits filing.

3. Service Agreements

Specific terms for each service are outlined in individual Service Agreements provided at the time of engagement. Service Agreements supersede these general Terms where they conflict.

4. Fees & Payment

Fees are disclosed in your Service Agreement. Most dispatching services are billed as a percentage of gross revenue. Brokerage services may include flat fees, commissions paid by partners, or percentage-based fees. All fees are clearly disclosed upfront — no hidden charges.

5. Client Responsibilities

• Provide accurate, current information about your equipment, authority, insurance, and operations.
• Maintain valid MC authority, DOT number, and required insurance throughout the engagement.
• Comply with all federal, state, and local trucking regulations.
• Pay invoices and fees on time per your Service Agreement.

6. Limitation of Liability

ATC Dispatching is not liable for losses caused by broker non-payment, shipper disputes, equipment failure, regulatory enforcement actions, market rate fluctuations, or acts beyond our reasonable control. Maximum liability under any circumstance is limited to the fees paid to us in the 90 days preceding the claim.

7. Brokerage Disclosure

For brokered services (factoring, equipment financing, SBA loans, insurance, truck sales), ATC Dispatching acts as a broker connecting clients with third-party providers. Final terms, approval, and contract execution are between the client and the third-party provider. We do not guarantee approval or specific terms.

8. Confidentiality

We treat your operational, financial, and personal information as confidential. Information is shared only as required to deliver requested services or when legally compelled.

9. Termination

Either party may terminate engagement per the notice provisions in your Service Agreement. Outstanding fees through the termination date remain payable.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Orange County, New York.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
